About the Opportunity

The firm is hiring an Associate for its General Corporate, Mergers & Acquisitions (M&A), Private Equity (PE) and Venture Capital (VC) practice. The role involves corporate transactions, investment deals and general corporate advisory, with an emphasis on drafting, negotiation and analytical work.

Gurugram, Haryana, India.

Employment Type

Full-time.

Experience

At least two years of post-qualification experience in General Corporate, M&A and PE/VC transactions. Prior experience at a tier 1 or tier 2 law firm is preferred.

Eligibility Criteria

• An LL.B. degree from a recognised university.
• Relevant experience in corporate transactions, investment deals and general corporate advisory.
• Strong drafting, negotiation, legal research and analytical skills.
• Ability to manage multiple transactions and work effectively in a fast-paced environment.
• Excellent communication and stakeholder-management skills.

Roles & Responsibilities

• Advise clients on mergers and acquisitions, private equity investments, venture capital transactions and other corporate matters.
• Draft, review and negotiate Share Purchase Agreements, Shareholders’ Agreements, Share Subscription Agreements and investment agreements.
• Conduct and coordinate legal due diligence and prepare due diligence reports.
• Assist in structuring and executing domestic and cross-border transactions.
• Advise on corporate restructurings, joint ventures and other strategic transactions.
• Undertake legal research and prepare notes and opinions on applicable corporate laws and regulatory requirements.
• Coordinate with clients, counterparties, internal teams and other stakeholders to support timely execution and closing of transactions.
