The firm is looking for a commercially aware and analytically strong legal professional with relevant experience in general corporate advisory, private equity and venture capital transactions, mergers and acquisitions, and related commercial matters.

The position involves advising clients on a broad range of corporate and commercial matters. The selected candidate will work on transactions, corporate advisory assignments, regulatory matters and related documentation.

Location
The position is based at the firm’s Noida office.
Experience
Candidates with approximately 2 years of post-qualification experience (PQE) are being considered, particularly those with relevant experience in General Corporate Advisory, PE/VC transactions and/or M&A.
Eligibility
The firm is looking for candidates who demonstrate:

- Excellent written and verbal communication skills.
- Ability to communicate confidently with clients and transaction stakeholders.
- Sound commercial understanding and a practical, solution-oriented approach to legal issues.

- Ability to manage multiple matters and transaction timelines effectively.
- High standards of integrity, accountability, professionalism and ownership.
- Approximately 2 years of PQE with relevant corporate, PE/VC and/or M&A experience.
Roles & Responsibilities
Legal Research and Due Diligence
The Associate will conduct detailed legal research, analysis and due diligence relating to corporate, transactional and commercial matters.
Transaction Documentation
The role includes drafting, reviewing and negotiating:
- Shareholders’ Agreements
- Investment Agreements
- Share Purchase Agreements
- Transaction documents
- Board and shareholder resolutions
- Legal opinions
- Advisory memoranda
- Other corporate documentation
PE/VC and M&A Transactions
The selected candidate will assist with structuring and executing PE/VC investments, funding rounds, M&A transactions, corporate reorganisations and other strategic transactions.
Regulatory and Corporate Advisory
The Associate will advise clients on regulatory compliance, corporate governance and statutory requirements under the Companies Act, SEBI regulations and other applicable laws.
Client and Transaction Support
The role involves working closely with partners and clients on transaction strategy, negotiations, documentation and execution.
